Terms & Conditions

Version 2026-10-04 · last updated 4 October 2026

These are the rules for using TradeMann, a software tool for building and running rule-based trading strategies. Please read them, especially section 4 (Risk) - automated trading can lose money. How we handle your data is in the Privacy Policy, which is part of this agreement.

1. Agreement

These Terms & Conditions form a binding agreement between you and TradeMann ("we", "TradeMann"). By ticking the acceptance boxes, creating an account or using the service you confirm that you have read and agree to these Terms and to the Privacy Policy, including that we collect and use your data - for example the mobile number linked to your broker account - as it describes. If you do not agree, do not use TradeMann.

2. Eligibility and your account

  • You must be at least 18 and able to enter into a binding contract under Indian law.
  • Give accurate information and keep it up to date. One person, one account - do not create several accounts, for example to get referral rewards more than once.
  • You are responsible for everything done through your account. Keep your password, your email and phone, and your broker credentials secure, and tell us at once if you think any of them has been compromised.
  • If you become aware of unauthorised use of your account or any security breach, tell us immediately through Support. We will take reasonable steps to restrict it once you do. Any loss from the unauthorised use or breach itself, or from the steps we take to restrict it, is yours alone - we are not liable for it.
  • You must have the right to use any broker account you connect, and to authorise us to use its API on your behalf.

3. What TradeMann is - and is not

TradeMann is software. It lets you define entry and exit rules, test them on a simulated account and, on a plan that allows it, have them place orders in your own broker account on your instructions.

TradeMann is not a broker, an exchange, a portfolio manager or a registered investment adviser. We do not give investment advice, tips, research or recommendations. Examples, default values and sample strategies are for illustration only and are not suggestions to buy or sell anything. We never hold your money or securities and cannot withdraw funds from your broker account.

4. Risk disclosure

Trading in securities, futures, options and commodities carries a substantial risk of loss, including losing more than you invested. Automated trading can lose money quickly. Please make sure you understand the following before you trade real money.

  • Markets are unpredictable. Results from paper trading, back-testing or earlier periods do not predict real results. A strategy that looked good can lose money.
  • Automation amplifies mistakes. A wrongly built rule, a wrong quantity or a changed market can place many unwanted orders. You must test, monitor and stop your strategies yourself.
  • Technology can fail. Orders can be delayed, rejected, partially filled or not placed because of our systems, your broker, exchange rules, price limits, internet or power problems, expired broker sessions, or data errors. Indicator values are computed from completed candles, so decisions follow the candle close and not every price move.
  • Derivatives and leverage (options, futures, commodities) can lose more than the amount first paid. Short positions can lose without limit.
  • Slippage and costs. Prices you receive can differ from the price a rule saw; brokerage, taxes and charges reduce returns.
  • Stopping a plan stops your strategies. If your plan lapses or is downgraded, strategies it no longer allows are stopped and their open positions are squared off at market, which may be at an unfavourable price.
  • Only risk money you can afford to lose, and start on paper first.

5. Your responsibilities when trading

  • Every strategy, setting and order is yours. You decide what to trade, how much and when to stop; we only run what you configured.
  • You are responsible for following your broker's terms, exchange rules, and the laws and SEBI regulations that apply to you, including rules on algorithmic trading and API access, and for paying your own taxes.
  • Check your positions and funds with your broker regularly. TradeMann's figures are a convenience; your broker's records are authoritative.
  • Do not rely on TradeMann as the only safeguard. Keep the ability to close positions directly with your broker.

6. Broker connections and your data

  • When you connect a broker you authorise us to use your credentials and the broker's API to log in as you, read your positions, funds, orders and prices, and place the orders your strategies generate. Your credentials are stored encrypted and used only for that purpose.
  • You also authorise us to fetch the mobile number registered on that broker account and store it on your profile, as described in the Privacy Policy.
  • You can remove the connection at any time on the Brokers page, which deletes the stored credentials. Open positions and orders stay with your broker.
  • Only one live broker account can be connected at a time. Broker sessions expire (daily for some) and need you to sign in again; strategies cannot trade while a session is expired.
  • Your broker is a separate company with its own terms, fees, outages and limits. We are not responsible for it.

7. Live trading and your dedicated IP

  • Live trading is available only on a plan that includes real trading, and only after you press Enable live trading in your profile.
  • Enabling it creates a dedicated server for you with its own IP address, shown in your profile. You must approve (whitelist) that IP with your broker before connecting. All your broker traffic is relayed through it.
  • If your dedicated IP is not ready or becomes unavailable, we will not send your broker traffic from any other address - the connection simply will not work until it is restored.
  • We may delete the server when it is no longer needed (for example your account is closed, your plan no longer allows live trading, or no live broker is connected for a period). Live trading is then switched off, and enabling it again gives a new IP that you must approve again. Deleting a server while you have live strategies running will stop them from trading.
  • We do not guarantee that a broker will accept orders from the IP, or that a given broker's IP rules will not change.

8. Paper trading

Paper trading uses simulated money and simulated fills. Nothing is ever sent to your real broker account while trading on paper. Simulated results can differ materially from real trading and are not a promise of future performance. Paper trading may still need a connected live broker so that real market data can be shown.

9. Plans, payment and renewal

  • Plans, prices and limits (number of strategies, instrument types, paper or real trading) are shown on the Pricing page. Prices are in Indian rupees and may be discounted for a time; we may change prices for future purchases.
  • Payments are processed by Razorpay. We do not see or store your card, UPI or bank details.
  • The Pro and Commodity plans can be held at the same time; each is billed separately, lasts about 30 days from its own payment, and has its own strategy allowance for the instruments it covers. If one ends the other continues.
  • A paid plan lasts about 30 days from payment. There is no automatic renewal or recurring charge - you pay again to continue. A plan bought early starts when the current one ends.
  • When a plan ends without renewal, your account returns to the Free plan. Strategies the Free plan does not allow are stopped and their open positions squared off (see section 4), and live trading stops.
  • Referral points are a credit that can reduce what you pay for a plan; they have no cash value and cannot be withdrawn.
  • Fees are charged for access to the software for the period and are non-refundable once the plan is active, except where the law requires otherwise or we agree in writing. If a payment succeeded but your plan did not activate, contact support and we will fix it.
  • Invoices are emailed after each payment. Applicable taxes (such as GST) are included or added as shown at checkout.

10. Referral programme

If the referral programme is on, you may earn points when someone you refer through your link makes their first successful payment, at the percentage shown in your profile. Rewards are for genuine, separate people only: self-referral, multiple accounts for one person, the same mobile number on several accounts, or any manipulation can lead to rewards being refused or reversed and to account suspension. We may change or end the programme at any time; points already earned stay valid for plan purchases.

11. Acceptable use

You must not:

  • break any law or any broker's or exchange's rules, or use TradeMann for market manipulation, spoofing, layering, wash trading or any other unfair trading;
  • access another person's account or broker credentials, or share yours;
  • probe, overload, scrape, reverse-engineer or interfere with the service, its servers, or the dedicated-IP servers, or use them for anything except your own broker traffic;
  • upload malicious code, or send us unlawful or abusive content;
  • resell or give others access to the service, or pass off our software as yours.

12. Availability and accuracy

We work to keep TradeMann running but it is provided "as is" and "as available". It may be unavailable for maintenance or because of failures of our hosting, your broker, data providers or the internet. Market data, indicator values and instrument lists come from third parties and may be delayed, incomplete or wrong. Events outside our reasonable control (outages, exchange or broker problems, cyber-attacks, natural events, changes in law) are not our breach of these Terms.

13. Our intellectual property

The software, design, text and brand of TradeMann belong to us or our licensors. We give you a personal, non-exclusive, non-transferable right to use it while your account is in good standing. The strategies you create remain yours; you give us permission to store and run them for you.

14. Suspension and ending your account

  • You can stop using TradeMann at any time, and ask us to close your account and erase your data (see the Privacy Policy).
  • We may suspend or end your account, stop your strategies and delete your dedicated-IP server if you break these Terms, if we must by law, or to protect users or the service. Where practical we will tell you first, but we may act immediately in urgent cases.
  • Ending an account does not cancel positions held with your broker - manage those yourself.

15. Disclaimers and limits of liability

  • To the fullest extent the law allows, we give no warranty that TradeMann will be uninterrupted, error-free, secure, or that it will make a profit or avoid a loss.
  • We are not liable for trading losses, missed gains, or the result of any order placed, delayed, rejected or not placed, however caused, including through strategies you built, broker or exchange action, data errors or system failure.
  • We are not liable for indirect, incidental, special or consequential loss, or loss of profit, data or goodwill.
  • Where liability cannot be excluded, our total liability to you for all claims is limited to the fees you paid us for the plan in the 12 months before the event.
  • Nothing here limits liability that cannot be limited by law, such as for fraud.

16. Indemnification

You agree to defend, indemnify and hold us, our officers, directors, employees and agents harmless from any claim, demand, loss, damage or expense (including reasonable legal costs) arising from or connected with:

  • your breach of these Terms or the Privacy Policy;
  • your use of TradeMann, including any strategy you built, tested or deployed, and any order it placed on your instructions;
  • your violation of any applicable law, or any broker's, exchange's or regulator's rules; and
  • your breach of a duty or right owed to a third party, including another person whose details you provided without authorisation.

This survives your account being suspended, closed or deleted.

17. Events beyond our control

We are not responsible for a delay or failure to perform caused by something reasonably beyond our control - for example an exchange or stock-market ruling or suspension of trading, a broker outage, a natural disaster, war, civil unrest, strikes, internet or power failures, a cyber-attack, or government or regulatory action. We will try to restore the service as soon as reasonably possible.

18. Electronic communications

By creating an account you consent to receive communications from us electronically - email and, where you have provided a number, SMS - including sign-in codes, service notices, invoices, renewal reminders and changes to these Terms or the Privacy Policy. These satisfy any requirement that such communications be in writing. We do not send marketing email or SMS (see the Privacy Policy).

19. Changes to these terms

We may update these Terms or the Privacy Policy. When a change matters we update the version number and ask you to review and accept again before you continue; using the service after accepting means you agree to the new version. If you do not accept, you can sign out and ask us to close your account.

20. Governing law and disputes

These Terms are governed by the laws of India. Please first raise any complaint with us through Support so we can try to resolve it. Any dispute we cannot resolve is subject to the exclusive jurisdiction of the courts at the place of our registered office in India. If any part of these Terms is found unenforceable the rest continues to apply, and our not enforcing a right is not a waiver of it. These Terms and the Privacy Policy are the whole agreement between us about TradeMann.
